Terms of Service

The agreement between us and the business subscribing to Coglass. Last updated: August 2026.

1. Who we are

Coglass is provided by Halliday Morrow Ltd, registered in England & Wales, company no. 17358542, registered office 39a The Riddings, Sutton Coldfield, England, B76 1RW ("we", "us", "Coglass"). You can reach us at contact@coglass.co.uk or 0121 517 0383.

2. These terms

These terms govern your use of the Coglass web application, mobile apps and related services (the "Service"). By subscribing to or using the Service you agree to them. If you're agreeing on behalf of a company, you confirm you're authorised to bind it.

Coglass is sold to businesses for use in their trade. It is not a consumer product, and the rights that apply to consumer contracts do not apply here.

3. Your account

You need an account to use the Service. You're responsible for the accuracy of the details you give us, for keeping login credentials secure, and for what people do under your account — including the staff logins you create. Tell us promptly at contact@coglass.co.uk if you think an account has been compromised.

Each user login is for one named person. Sharing a single login between several people isn't permitted, as plans are priced by user.

4. Free trial

New accounts may be offered a free trial. During the trial the Service is provided as-is and we may change or withdraw trial access. We won't charge you during the trial, and we'll email you before it ends. See our cancellation policy.

5. Fees and payment

  • Plan prices are published at coglass.co.uk/pricing and are exclusive of VAT, which is added at the prevailing rate where applicable.
  • Subscriptions are billed monthly in advance by card, and renew automatically each month until cancelled.
  • Usage above your plan's allowance is billed in arrears at the rates on the pricing page.
  • Card payments are processed by our payment provider. We don't store your full card details.
  • If a payment fails we may retry it and will contact you. We may suspend the Service if an invoice stays unpaid, after telling you and giving you a reasonable chance to fix it.
  • We may change prices, giving existing customers at least 30 days' notice by email. If you don't accept a change, you can cancel before it takes effect.

6. Term, cancellation and suspension

Subscriptions roll month to month with no minimum term. Either of us can end the agreement: you by cancelling as described in our cancellation policy, us by giving you 30 days' notice. We may suspend or end an account sooner if you breach these terms materially, don't pay, or use the Service in a way that risks harm to others or to us — and we'll explain why and give you a chance to put it right where it's reasonable to do so.

7. Your data

Your data stays yours. You keep all rights in the orders, customers, quotes, photos and other content you put into Coglass. You grant us only the permission needed to host and process it in order to run the Service for you.

For the personal data you hold about your own staff and customers, you are the data controller and we are your processor. We process it on your instructions to provide the Service, and we don't sell it or use it to build profiles. Our privacy policy explains what we handle. Our data processing agreement sets out the Article 28 terms, including the sub-processors we use; it forms part of these terms and applies automatically, and we'll provide a countersigned copy on request.

We take reasonable technical and organisational measures to keep your data secure, and take regular backups. You remain responsible for exporting anything you need to keep — see the cancellation policy for how to get an export.

8. Acceptable use

Don't use the Service to break the law, to send unlawful or unsolicited messages, to store content you have no right to store, to attempt to gain unauthorised access to our systems or another customer's data, or to resell access without our agreement. Don't attempt to copy, decompile or reverse-engineer the software.

Where the Service sends messages on your behalf — email, SMS or WhatsApp to your customers — you are responsible for having a lawful basis to contact those recipients and for the content of those messages.

9. Availability and support

We work to keep Coglass available and reliable, but we don't promise it will be uninterrupted or error-free. We may take it down for planned maintenance and will give notice where we reasonably can. Parts of the Service depend on third parties — payment processing, messaging, mapping and AI providers among them — and interruptions there can affect Coglass.

10. Changes to the Service

We develop Coglass continuously and features will change over time. We won't make a change that removes a material part of what you're paying for without telling you first. If we do, and it materially disadvantages you, you may cancel.

11. Our intellectual property

We own the Coglass software, brand and documentation. Your subscription gives you a non-exclusive, non-transferable right to use the Service while it's active — it doesn't transfer ownership of anything.

12. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't lawfully be limited.

Subject to that: neither of us is liable to the other for loss of profit, loss of business, loss of goodwill or indirect or consequential loss. Our total liability to you in any 12-month period is limited to the fees you paid us in the 12 months before the claim.

Coglass is a tool for running your business; it isn't a substitute for your own professional judgement, your compliance obligations, or your own records. You remain responsible for the accuracy of what you quote, order and invoice.

13. Confidentiality

Each of us may see information belonging to the other that isn't public. Neither of us will disclose it to anyone else except where needed to run the Service, or where the law requires it.

14. General

We may update these terms; we'll post the new version here and, for material changes, tell you by email at least 30 days beforehand. You may not transfer this agreement without our consent; we may transfer it to a company that acquires our business. If any part of these terms is found unenforceable, the rest continues to apply. Nobody other than you and us has rights under this agreement.

15. Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
